TERMS OF SERVICE Last Updated: January 2026 1. PARTIES & AGREEMENT These Terms of Service (“Terms”) form a binding legal agreement between you (“User”, “you”, or “Participant”) and the Platform operator (“Company”, “we”, “us”, or “our”), which operates an online soccer prediction challenge (the “Contest”) through https://[your-domain] and related software (collectively, the “Platform”). By accessing the Platform, creating an account, submitting any prediction, or participating in the Contest in any way, you agree to be bound by these Terms and all incorporated documents. If you do not agree, you must not access or use the Platform. 2. INCORPORATED DOCUMENTS The following documents are incorporated by reference and form an integral part of this Agreement: • Official Contest Rules • Privacy Policy • Refund & Chargeback Policy • AI / ALGORITHMIC DISCLOSURE In the event of any conflict, these Terms of Service control unless mandatory local consumer protection law requires otherwise. 3. PLATFORM DESCRIPTION The Platform provides a non-gambling, skill-based Contest where Participants may predict outcomes of soccer matches in a group-stage bracket format (72 matches). Points are earned based on prediction accuracy once official results are confirmed. Prizes are awarded only as described in the Official Contest Rules. There is no wagering, no financial return on Entry Credits, and no house advantage. The Contest is void where prohibited by law. 4. ACCOUNT REGISTRATION To access certain features, you must create an account and provide accurate, current information. You represent and warrant that: • All information you provide is true, accurate, and complete • You are not barred from using the Platform under any applicable law • You will maintain only one personal account Fraudulent, duplicate, or abusive accounts may be suspended or terminated immediately without notice or liability. 5. AGE REQUIREMENTS ou must be at least eighteen (18) years of age, or the age of majority in your jurisdiction (whichever is greater), to create an account or participate in the Platform or Contest. The Platform is intended exclusively for individuals 18 years of age or older. The Company does not permit participation by anyone under 18. Accounts found to belong to individuals under 18 may be terminated immediately without notice. 6. GLOBAL AVAILABILITY & COMPLIANCE The Platform is accessible worldwide, except in jurisdictions subject to sanctions, embargoes, or where operation would violate applicable law. You are solely responsible for ensuring your participation is lawful in your jurisdiction. The Contest is void where prohibited or restricted by law. The Company makes no representation that participation is lawful in any particular jurisdiction. Users participate at their own risk and are solely responsible for compliance with local laws. The Contest is void where prohibited by law. 7. CONTEST ACCESS: FREE & OPTIONAL PAID ENTRIES Participation may occur through: 7.1 Free Enrollment • Each new User receives one (1) free Entry Credit upon account registration • Additional free Entry Credits may be obtained through daily free allocations, referral programs, promotional activities, or through the Alternative Method of Entry (AMOE) described in the Official Contest Rules • No purchase is necessary to participate or win 7.2 Optional Paid Purchases • Users may purchase Entry Credits for convenience • Paid Entry Credits do not provide any advantage in scoring, prize eligibility, prediction accuracy, competitive standing, or odds of success • Purchases are optional and are not required to participate or win 8. ENTRY CREDITS & BRACKET SUBMISSION Entry Credits are digital consumable items that allow submission of prediction brackets. Key mechanics: • Drafting a bracket does not consume credits • An Entry Credit is consumed only when a bracket is submitted • Submitted brackets are final and cannot be modified or deleted • Entry Credits have no monetary value, no redemption value, and are not investments or financial instruments • Entry Credits are non-refundable except where required by mandatory law 9. PAYMENT TERMS (FOR OPTIONAL PURCHASES) Payments are processed by third-party providers (e.g., Stripe, crypto processors). By making a purchase, you agree that: • All sales of Entry Credits are final except where law requires otherwise • Entry Credits are delivered immediately upon purchase • Once consumed, Entry Credits cannot be restored or refunded • Chargebacks, payment disputes, or fraud claims may result in immediate account suspension or termination • No financial return, ROI, or investment is offered or implied Refunds and chargeback handling are governed solely by the Refund & Chargeback Policy located at /legal/refunds. By completing a purchase, you agree to that policy. 10. NO PURCHASE NECESSARY No purchase is required to enter the Contest, participate fully, or win any prize offered. An Alternative Method of Entry (AMOE) is provided within the Official Contest Rules. Paid Users do not receive better odds, improved prize eligibility, or any competitive advantage. 11. SCORING & RESULTS Scoring is based exclusively on: • User predictions • Official match results • Contest scoring rules published in the Official Contest Rules Disputes regarding scoring are governed by the arbitration and dispute resolution provisions set forth in Section [Arbitration Section Number] of these Terms. 12. PRIZES Prize details are set forth in the Official Contest Rules. Prizes are non-transferable unless explicitly stated otherwise. The Platform reserves the right to verify eligibility before awarding any prize. 13. FRAUD, CHEATING & ABUSE Prohibited behaviors include, but are not limited to: • Automated account creation • Unauthorized scripts or bots • Manipulating match data or platform behavior • Exploiting referral systems • Attempting to circumvent NPN mechanics • Multi-account farming Violations may result in immediate suspension, disqualification, prize forfeiture, or account termination without notice or liability. 13.1 CREDIT ABUSE POLICY (Entry Credits — Free and Paid) Entry Credits are virtual units with no real-world monetary value outside the Platform. They are non-transferable, non-assignable, non-salable, and may not be exchanged for cash or any other form of consideration except as expressly permitted in these Terms or required by applicable law. Entry Credits are provided solely for use in entering Contests on the Platform in accordance with these Terms and the Platform's technical and business rules. Credits may be obtained only through (a) legitimate free means (e.g., welcome bonuses, verified shares, qualified referrals) or (b) authorized purchases via the Platform's payment processors. Any attempt to obtain Credits in a manner that circumvents, exploits, or violates these rules or the Platform's systems constitutes abuse and is strictly prohibited. (1) Permitted Conduct Free Credits: You may earn Credits through genuine, user-initiated actions, such as (i) sharing Platform content to permitted social platforms (limited per post as displayed in the app), (ii) successful referrals where the referred user completes account registration, verifies identity if required, submits a valid bracket/entry, and is not engaging in fraudulent activity, or (iii) other promotional mechanisms explicitly offered by the Platform. There is no fixed cap on legitimately earned free Credits, but unusually high volumes inconsistent with normal use may trigger review. Paid Credits: You may purchase Entry Credits only in the bundles and at the prices displayed in the Platform, processed through authorized payment methods. Only completed, non-reversed, and non-disputed transactions grant Credits. (2) Prohibited Conduct (Abuse) The following (including but not limited to) constitutes abuse and is prohibited: Free Credits-Related: • Using bots, scripts, automation, macros, proxies, VPNs (to mask location/identity), or any automated/non-genuine means to trigger share, referral, or bonus Credits. • Creating or using multiple/fake/duplicate accounts, self-referrals, chain referrals, or accounts associated with the same person/household/device/IP to earn referral or bonus Credits. • Earning Credits through simulated, incentivized, or non-genuine shares/referrals (e.g., paid promotion services, fake engagement). • Exploiting bugs, glitches, loopholes, system errors, or unannounced features to obtain free Credits without completing the required genuine action. Paid Credits-Related: • Obtaining Credits without full payment or in excess of the purchased amount (e.g., via payment replay, webhook manipulation, double-crediting, refund/chargeback abuse while retaining Credits). • Initiating chargebacks, payment reversals, disputes, or fraud claims on legitimate purchases with intent to retain Credits or defraud the Platform/payment processors. • Exploiting bugs, glitches, loopholes, or errors in the purchase, payment, or crediting process. General: • Any conduct that circumvents, manipulates, or violates these Terms, the Platform's rules, or applicable laws (including anti-fraud, anti-money laundering, consumer protection, or contest/sweepstakes regulations). • Abusing promotions, bonuses, or referral programs (e.g., patterns designed to artificially inflate Credits). • Transferring, selling, trading, or commercializing Credits or accounts. • Any other activity that undermines the fairness, integrity, or skill-based nature of the Contests or the Platform. 14. INTELLECTUAL PROPERTY & BRAND USE 14.1 Ownership All intellectual property rights in and to the Platform, Contest, and related services — including but not limited to: Software, source code, algorithms, AI models, bot logic, and scoring systems Designs, graphics, logos, trademarks, service marks, and branding Text, images, audio, video, and other content Databases, match data compilations, prediction templates Domain names and proprietary systems are owned exclusively by the Company or its licensors and are protected by applicable copyright, trademark, patent, trade secret, and other intellectual property laws worldwide. Nothing in these Terms grants you any ownership interest in the Platform. 14.2 Limited License to Users Subject to your compliance with these Terms, the Company grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to: Access and use the Platform for personal, non-commercial purposes Submit personal predictions and Entries View Contest-related content for personal use This license terminates automatically upon account closure or violation of these Terms. 14.3 User Content License to Company By submitting any content to the Platform (including predictions, bracket data, usernames, comments, or other materials), you grant the Company a worldwide, royalty-free, perpetual, irrevocable, transferable, sublicensable license to: Use, reproduce, modify, adapt, publish, distribute, and display such content Create derivative works Incorporate it into the Platform or Contest Use it for promotional, analytical, operational, or security purposes You represent and warrant that you have the rights necessary to grant this license. 14.4 Prohibited Uses You may not: Copy, reproduce, modify, distribute, or create derivative works of the Platform Reverse-engineer, decompile, disassemble, or attempt to discover source code or algorithms Use Company trademarks or branding without written permission Scrape, crawl, extract, or mine data from the Platform Use the Platform in any manner that competes with or damages the Company Violations may result in immediate account termination and legal action. 14.5 Third-Party Intellectual Property The Platform may display third-party content (including match data, team names, or logos) under license or fair use. The Company does not claim ownership of third-party intellectual property and makes no warranties regarding such materials. 14.6 Reporting Infringement If you believe content on the Platform infringes your intellectual property rights, contact: Email: bonjour@worldcupmillionaire.com The Company will respond to valid notices in accordance with applicable law. 15. DISCLAIMERS The Platform is provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, express or implied. The Company does not guarantee: • Prize amounts or awards • Continuous uptime or error-free operation • Accuracy, timeliness, or completeness of match data • Security of user data beyond reasonable measures Users assume all risk associated with Platform use. 16. LIMITATION OF LIABILITY To the maximum extent permitted by law: • The Company, its affiliates, officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages • The Company’s total aggregate liability for any claim arising from or related to the Platform or Contest shall not exceed the greater of (a) CAD $100 or (b) the amount you actually paid to the Company in the twelve (12) months preceding the claim If you are dissatisfied with the Platform or Contest, your sole and exclusive remedy is to stop using the Platform. Nothing in these Terms excludes liability where such exclusion is prohibited by applicable law. 17. INDEMNIFICATION You agree to indemnify, defend, and hold harmless the Company, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: • Your use of the Platform • Your violation of these Terms • Your violation of any law or third-party rights • Any content you submit or transmit • Any fraud, chargeback, or abuse associated with your account 18. ACCOUNT TERMINATION The Company may suspend or terminate your account at any time, without notice or liability, for any reason, including but not limited to: • Fraud or suspected fraud • Violation of these Terms • Abuse of the Platform or Contest • Non-payment or chargebacks • Legal or regulatory requirements You may close your account at any time by contacting support. 19. DISPUTE RESOLUTION & ARBITRATION 19.1 Informal Resolution First Before initiating arbitration or any legal proceeding, you agree to attempt to resolve any dispute informally by: Sending written notice of the dispute to the Company at the contact email listed below, and Allowing the Company thirty (30) calendar days to respond and attempt resolution. The notice must include: Your full legal name Account email address A detailed description of the dispute Supporting documentation (if any) The specific relief requested If the dispute is not resolved within thirty (30) days, either party may proceed to arbitration. 19.2 Binding Individual Arbitration Except as provided below, any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, the Contest, Entries, Prizes, payments, or related services shall be resolved exclusively through binding individual arbitration, and not in court. Arbitration shall: Be administered by the ADR Institute of Canada (or its Québec affiliate) under its Commercial Arbitration Rules Be conducted in Montreal, Quebec, Canada Be conducted in English or French (at the claimant’s choice) Be conducted remotely via videoconference unless both parties agree otherwise The arbitrator shall have exclusive authority to resolve any dispute regarding the interpretation, enforceability, or formation of this arbitration clause. The arbitrator’s decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction. 19.3 Class Action & Collective Relief Waiver To the maximum extent permitted by law, you waive any right to bring or participate in any class action, collective action, representative proceeding, or consolidated claim. All claims must be brought on an individual basis. 19.4 Exceptions The following disputes may be brought in court instead of arbitration: Claims properly within the jurisdiction of small claims court Requests for injunctive relief relating to intellectual property Enforcement of an arbitration award Any permitted court action must be filed exclusively in Montreal, Quebec, Canada. 19.5 Time Limitation on Claims Any claim must be filed within one (1) year from the date the claim arose, unless a longer statutory limitation period is required by law. Claims filed after this period are permanently barred. 19.6 Survival This arbitration provision survives termination of your account, completion of the Contest, prize distribution, or any other termination of the relationship between you and the Company. 20. GOVERNING LAW & JURISDICTION These Terms are governed exclusively by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles. Subject to the mandatory arbitration clause above, any legal action or proceeding not subject to arbitration shall be brought exclusively in the courts located in Montreal, Quebec, Canada, and you irrevocably submit to the personal and exclusive jurisdiction of those courts. 21. MODIFICATION OF TERMS The Company may update these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the updated Terms. We will provide reasonable notice of material changes (e.g., via email or in-app notification). 22. SEVERABILITY If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. 23. ENTIRE AGREEMENT These Terms, together with all incorporated documents, constitute the entire agreement between you and the Company regarding the Platform and Contest, superseding all prior agreements. 24.
